This Terms of Service Agreement (the "Agreement") is a legal contract between you (the "User") and Hangzhou Tongming Technology Co., Ltd. (the "Company") governing the use of "Tuji", a desktop application developed by the Company for use on macOS systems.
By utilizing Tuji, the User agrees to be bound by the terms of this Agreement. If the User does not agree to the terms of this Agreement, the User should refrain from using Tuji.
The User is granted a non-exclusive, non-transferable, limited license to access and use Tuji. The User may use Tuji free of charge with limited features, or choose to purchase an upgrade to the Pro version to access all features.
All intellectual property rights in and to Tuji, including but not limited to patents, copyrights, trademarks, and trade secrets, are owned by the Company or its licensors. The User acknowledges and agrees that no rights or interests in Tuji are conferred upon the User, except as expressly set forth in this Agreement.
The User may not copy, modify, distribute, or reverse engineer Tuji or any part of it, except as expressly authorized by the Company in writing.
Tuji is provided "AS IS" and without warranty of any kind. The Company makes no representations or warranties, either express or implied, as to the quality, accuracy, reliability, completeness, appropriateness, availability, or performance of Tuji or any part thereof.
Under no circumstances shall the Company be liable for any damages, including but not limited to direct, indirect, incidental, special, consequential, or punitive damages, that arise from or are connected with the use or the inability to use Tuji, even if the Company has been advised of the possibility of such damages.
The User agrees to indemnify and hold harmless the Company, its affiliates, officers, directors, employees, agents, and licensors from any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, that arise from or in connection with the User's use of Tuji.
This Agreement constitutes the entire agreement between the User and the Company and supersedes all prior or contemporaneous oral or written communications and proposals between the User and the Company.
Should any provision of this Agreement be found invalid or unenforceable, that provision shall be struck, and the remaining provisions shall be enforced.
